These Terms and Conditions ("Terms") govern the use of the CLAST.io platform, website, applications, and services (collectively, the "Services") provided by ULEARNA TECHNOLOGY LTD ("CLAST", "we", "us", or"our"), a company incorporated in the United Kingdom (Company Number: 16128306).

By accessing or using CLAST.io, you agree to be legally bound by these Terms. If you do not agree, do not use the Services.

• "Institution" means any school, academy, college, university, training centre, or educational organisation using CLAST.io.
• "User" means any authorised individual accessing the Services, including administrators, staff, teachers, students, or parents.
• "Content" means all data, text, files, images, records, and information uploaded or generated through the Services.
• "Subscription" means a paid or free plan under which the Services are provided.

CLAST.io is a cloud-based, multi-tenant Education ERP and AI-enabled platform providing tools including, but not limited to:

• Student information management
• Academic, attendance, and assessment records
• Finance, billing, and fee management
• Learning management and communication tools
• AI-assisted support and automation features

We may update, modify, or discontinue features at any time.

• You must be at least 18 years old or have legal authority to bind an Institution.
• Institutions are responsible for all activity conducted under their accounts.
• You must provide accurate, complete, and current information.
• Account credentials must be kept confidential.
• We reserve the right to suspend or terminate accounts for misuse, breach, or security risk.

• Some features require a paid Subscription.
• Fees are charged in advance and are non-refundable unless required by UK law.
• Prices may change with prior notice.
• Failure to pay may result in suspension or termination of Services.
• All payments are exclusive of VAT unless stated otherwise.

You agree not to:

• Use the Services for unlawful purposes
• Upload malicious code or attempt unauthorised access
• Interfere with platform performance or security
• Reverse engineer or copy the Services

CLAST.io may monitor usage to ensure compliance.

• CLAST.io complies with the UK GDPR and Data Protection Act 2018.
• Institutions remain the Data Controller; CLAST.io acts as Data Processor.
• Personal data is processed solely to provide the Services.
• A separate Data Processing Agreement (DPA) may apply.
• Users acknowledge that educational data may include sensitive personal data.

• All intellectual property rights in CLAST.io remain with ULEARNA TECHNOLOGY LTD.
• Institutions retain ownership of their Content.
• By using the Services, you grant CLAST.io a limited licence to process Content solely to provide the Services.
• No rights are transferred except as expressly stated.

AI-powered features:

• Provide assistance, recommendations, and automation
• Do not replace professional, academic, or legal judgment

CLAST.io makes no guarantee of accuracy or outcomes generated by AI features. Institutions are responsible for final decisions.

The Services may integrate with third-party providers. CLAST.io is not responsible for third-party services, content, or availability.

• Services are provided on an "as is" and "as available" basis.
• We aim for high availability but do not guarantee uninterrupted service.
• Scheduled maintenance may occur.
• Support levels depend on the Subscription plan.

To the maximum extent permitted by UK law:

• CLAST.io shall not be liable for indirect, incidental, or consequential losses
• Total liability shall not exceed the fees paid in the previous 12 months

Nothing limits liability for fraud, death, or personal injury caused by negligence.

You agree to indemnify and hold CLAST.io harmless from claims arising from:

• Your use of the Services
• Breach of these Terms
• Violation of applicable laws

• You may terminate your Subscription according to your plan terms.
• CLAST.io may terminate immediately for material breach.
• Upon termination, access will be revoked and data retained according to the DPA.

We may update these Terms at any time. Continued use constitutes acceptance of the revised Terms.

• These Terms are governed by the laws of England and Wales.
• Courts of England and Wales shall have exclusive jurisdiction.
