Terms and Conditions

These Terms of Use ("Terms") govern your access to and use of the Clast.io platform, including
all associated software, dashboards, APIs, AI features, and services (collectively, the
"Platform"), operated by ULEARNA TECHNOLOGY LTD (Company No. 14799798), a company
incorporated in England and Wales ("Clast", "we", "us", or "our").
By accessing or using the Platform, you agree to be bound by these Terms. If you are
accessing the Platform on behalf of an educational institution, you represent that you have
authority to bind that institution to these Terms.
1. Definitions
- "Platform" means the Clast.io web application, mobile application, APIs, dashboards, AI features, and all related services.
- "Institution" means a school, university, academy, or other educational entity that subscribes to or uses the Platform.
- "Main Institution" means the primary account holder that manages one or more Branch Institutions under a multi-tenant arrangement.
- "Branch Institution" means a sub-account or campus managed under a Main Institution's account.
- "User" means any individual who accesses the Platform, including Super Admins, Branch Managers, Academic Coordinators, Finance Managers, HR Managers, Receptionists, Admission Officers, Librarians, Teachers, Students, Parents/Guardians, Grant Managers, and General Staff.
- "Institution Data" means all data, content, and information uploaded to or generated within the Platform by an Institution or its Users.
- "Subscription" means the paid or free-tier licence granted to an Institution to access and use the Platform.
- "Trial Period" means the 7-day free access period available to new institutions before a paid subscription begins.
- "Google Services" means Google Sign-In, Google Calendar, and Google Meet, as integrated into the Platform.
2. Eligibility and Account Registration
2.1 Age Requirements
Users must be at least 13 years of age. Students under 18 may only use the Platform under the supervision of their educational institution. Institutions are responsible for obtaining all required parental or guardian consent before enrolling minor students.
2.2 Account Accuracy
You agree to provide accurate, current, and complete information when registering an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@clast.io if you suspect unauthorised access.
2.3 Google Sign-In
You may register or log in using your Google account. By doing so, you authorise Clast to access your Google profile information (name, email address, profile picture) solely for authentication purposes. You may revoke this at any time via your Google account settings.
2.4 Role-Based Access
Access to Platform features is determined by your assigned role. Institutions are responsible for correctly assigning roles and managing user permissions within their account.
3. Permitted Use
The Platform is licensed solely for use by educational institutions and their authorised Users for legitimate educational administration and management purposes, including:
- Academic and student lifecycle management (curriculum, attendance, assessments, records)
- Admissions, enrolment, and student information management
- Staff HR, scheduling, and performance management
- Finance, fee collection, invoicing, and payroll management
- Scheduling and managing institutional events via Google Calendar
- Hosting and attending video sessions via Google Meet and Zoom
- Internal communication between administrators, staff, students, and parents/guardians
- Library and resource management
- AI-powered tutoring and administrative assistance
- Receiving automated notifications via in-app, email, SMS, or WhatsApp
- Grant and funding tracking within the institution's own financial records
4. Acceptable Use Policy
All users of the Platform must use it responsibly and in good faith. The following standards of acceptable use apply to all institutions and their users.
4.1 You Must
- Use the Platform only for legitimate educational administration and learning purposes
- Treat all other users — students, staff, parents, and administrators — with respect and professionalism
- Keep your login credentials secure and not share them with unauthorised persons
- Report suspected security issues, bugs, or misuse to support@clast.io promptly
- Ensure that content uploaded to the Platform is lawful, relevant, and appropriate
4.2 You Must Not
- Use the Platform for any unlawful purpose or in violation of applicable laws or regulations
- Attempt to gain unauthorised access to any part of the Platform or to other users' accounts
- Upload or transmit malicious code, viruses, or software designed to harm the Platform or its users
- Harass, bully, threaten, defame, or discriminate against any user of the Platform
- Post or share content that is obscene, offensive, hateful, or otherwise inappropriate
- Use AI-powered features (tutoring chatbots, administrative assistants) in a way that is deceptive, abusive, or harmful
- Scrape, harvest, or extract data from the Platform without prior written consent from Clast
- Reverse engineer, decompile, or disassemble any part of the Platform
- Resell, sublicence, or commercially exploit the Platform or its data without authorisation
- Circumvent or attempt to circumvent any security or access-control measures
- Use Google Services accessed through the Platform for any purpose beyond the features described in these Terms
- Use the Platform to store, transmit, or process data for any entity other than the subscribing institution
4.3 Academic Integrity
Institutions are responsible for setting and enforcing their own academic integrity policies. Clast's AI tutoring features are intended to support learning — not to replace student effort or circumvent academic assessments. Misuse of AI features in violation of an institution's academic policies is the sole responsibility of the relevant user and institution.
4.4 Enforcement
Clast reserves the right to suspend or terminate access to any user or institution found to be in breach of this Acceptable Use Policy. We may also report unlawful activity to appropriate authorities.
5. Third-Party Integrations
The Platform integrates with the following third-party services. Your use of these integrations is subject to the respective third-party terms and privacy policies:
5.1 Google Services (Sign-In, Calendar, Meet)
Clast.io uses Google Sign-In for authentication, Google Calendar API to read and write institutional events, and Google Meet to create and manage video sessions. By enabling these integrations, you authorise Clast to access the relevant Google data scopes on your behalf. Clast's use of Google user data complies with the Google API Services User Data Policy, including the Limited Use requirements. You may disconnect Google integrations at any time.
5.2 Zoom
Zoom is available as an alternative video conferencing tool. Zoom's Terms of Service and Privacy Policy (zoom.us) apply.
5.3 Microsoft 365
Microsoft 365 integration enables access to Teams, Word, Excel, and OneDrive for productivity and collaboration. Microsoft's Terms of Service and Privacy Policy apply.
5.4 Stripe
Stripe processes subscription payments and institutional billing. Stripe collects payment card data directly under its own Terms of Service and Privacy Policy (stripe.com). Clast does not store full payment card details.
5.5 PayPal
PayPal is available as an alternative payment method. PayPal's User Agreement and Privacy Policy apply.
5.6 WhatsApp Business API
WhatsApp delivers automated notifications, attendance alerts, fee reminders, and institutional updates. Meta's Terms of Service and Privacy Policy apply.
5.7 Amazon Web Services (AWS)
Clast uses AWS SNS (Simple Notification Service) and AWS SES (Simple Email Service) for SMS and email notification delivery. AWS's Terms of Service and Privacy Policy (aws.amazon.com) apply.
Clast is not responsible for the availability, accuracy, security, or conduct of any third-party service.
6. Subscription, Free Trial, Pricing and Payment
6.1 Free Trial
New institutions are entitled to a 7-day free trial with full access to the Platform's features. No credit card or payment details are required during the trial period. At the end of the trial, the Platform access expires automatically. To continue using Clast.io, institutions must actively sign up for a paid subscription and provide payment details. Trial data is retained for 7 days after the trial ends; if no subscription is started, all data is permanently deleted.
6.2 Plans
Clast.io offers tiered subscription plans as described at clast.io/pricing. Features, limits, and pricing are subject to change with reasonable advance notice.
6.3 Billing and Auto-Renewal
Subscriptions are billed in advance — at the start of each billing period (monthly or annually as agreed at sign-up). Subscriptions renew automatically at the end of each billing period and the payment method on file will be charged automatically unless the subscription is cancelled before the renewal date. All fees are exclusive of applicable taxes. Payments are processed securely via Stripe or PayPal. Institutions are responsible for keeping their payment details up to date.
6.4 Refund Policy
Fees paid for completed billing periods are generally non-refundable. However, refunds may be considered in the following circumstances:
- Technical failure: if the Platform experiences a significant outage that prevents use for more than 72 consecutive hours and Clast is unable to remedy the issue
- Billing error: if an incorrect amount was charged due to a system error
- Discretionary: Clast may issue refunds on a case-by-case basis at its sole discretion
To request a refund, contact billing@clast.io within 14 days of the charge with your account details and reason for the request.
6.5 Non-Payment
Clast reserves the right to suspend or terminate access if fees remain unpaid beyond any agreed grace period.
7. Service Levels and Uptime
7.1 Uptime Commitment
Clast aims to maintain 99.9% Platform availability (measured monthly, excluding scheduled maintenance). This equates to a maximum of approximately 43 minutes of unplanned downtime per month.
7.2 Scheduled Maintenance
We will provide at least 24 hours advance notice of scheduled maintenance that may affect Platform availability, where reasonably possible, via in-app notification or email.
7.3 Exclusions
Uptime commitments do not apply to downtime caused by: third-party service outages (Google, Zoom, Stripe, AWS, etc.); force majeure events; user-caused issues; or actions taken in response to security incidents or legal requirements.
7.4 Remedy
If Platform availability falls below 99.9% in any given calendar month due to Clast's infrastructure, affected institutions may request a service credit of up to 5% of that month's subscription fee by contacting support@clast.io within 14 days of the affected period.
8. Multi-Tenant and Multi-Branch Institutions
8.1 Overview
Clast.io supports multi-tenant deployments in which a Main Institution (the primary account holder) manages one or more Branch Institutions (sub-accounts representing campuses, departments, or affiliated schools) under a single subscription.
8.2 Main Institution Responsibilities
The Main Institution is solely responsible for:
- All activity carried out by Branch Institutions and their users
- Ensuring that Branch Institution users comply with these Terms and the Acceptable Use Policy
- Managing access rights, roles, and permissions across all branches
- Data accuracy and security across all branch accounts
- All fees associated with the multi-tenant subscription
8.3 Branch Management
The Main Institution has full administrative authority to add, configure, suspend, or permanently remove Branch Institutions and their associated data from the Platform. Clast is not liable for any loss of data or disruption caused by a Main Institution's management decisions regarding its branches.
8.4 Data Boundaries
Branch Institutions operate within data boundaries set by the Main Institution. Branch-level administrators can only access data within their assigned branch unless explicitly granted cross-branch access by the Main Institution's Super Admin.
9. Grant Manager and Financial Records
The Platform includes a Grant Manager role to help institutions track and manage grant funding and financial records. The following applies:
- All grant data, records, and financial information entered into the Platform are the sole property and responsibility of the subscribing institution
- Clast provides the Grant Manager feature as a record-keeping tool only and does not verify, validate, or take any responsibility for the accuracy of grant or financial data
- All legal and financial liabilities arising from grant management, reporting, or compliance remain with the institution
- Clast does not interact with grant-issuing bodies on behalf of institutions and is not a party to any grant agreements
10. Intellectual Property
10.1 Clast's IP
The Platform — including all software, AI models, designs, features, text, graphics, and logos — is the exclusive property of Clast and its licensors. Nothing in these Terms transfers any ownership rights to you or your institution.
10.2 Institution Data
Institutions retain full ownership of all Institution Data. By uploading data to the Platform, you grant Clast a limited, non-exclusive licence to process that data solely to provide the services described in these Terms and our Privacy Policy.
10.3 Google Integration Compliance
Clast's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. Google user data is not used for advertising, profiling, or sold to third parties.
11. AI-Powered Features
Clast.io incorporates AI features including Socratic tutoring chatbots and administrative assistants. You acknowledge that:
- AI-generated outputs are for informational and educational assistance purposes only
- AI outputs may occasionally be inaccurate and should be reviewed by qualified educators or administrators
- Clast does not guarantee the accuracy, completeness, or fitness for purpose of AI-generated content
- Institutions are responsible for supervising how AI features are used by students and staff
- AI features support English, Pashto, Dari, and Urdu; translation and response quality may vary
12. Data, Privacy and Security
Your use of the Platform is also governed by our Privacy Policy, available at clast.io/privacy-policy, which is incorporated into these Terms by reference.
All Platform data is stored on secure DigitalOcean infrastructure with TLS encryption, role-based access controls, and regular security assessments.
13. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. Clast does not warrant that the Platform will be error-free or that all defects will be corrected.
14. Limitation of Liability
To the fullest extent permitted by applicable law, ULEARNA TECHNOLOGY LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total aggregate liability for any claim shall not exceed the fees paid by the Institution in the twelve (12) months preceding the claim.
15. Indemnification
You agree to indemnify and hold harmless Clast, its directors, employees, and agents from any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising from your violation of these Terms, misuse of the Platform, or infringement of any third-party rights.
16. Termination
16.1 By You
Institutions may cancel their subscription at any time by contacting support@clast.io. Access continues until the end of the current billing period.
16.2 By Clast
Clast may suspend or terminate access immediately if you breach these Terms, engage in fraudulent activity, or for other legitimate business reasons.
16.3 Effect of Termination
Upon termination, your right to access the Platform ceases. Institution Data is retained for 30 days after termination, then permanently deleted. You are responsible for exporting your data prior to termination.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. For institutions in Afghanistan or Pakistan, we encourage good-faith negotiation before pursuing formal proceedings.
18. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
